MKCS Business Scheduling Intelligence Terms of Service
These Terms of Service govern access to and use of MKCS Business Scheduling Intelligence provided by MarkoTek Cloud Solutions (“MKCS”). By creating, administering, or using a customer workspace, the customer agrees to these Terms, the Acceptable Use Policy, the Privacy Policy, and any applicable order form or written agreement.
1. Authorized use and customer authority
The customer represents that the person accepting these Terms has authority to act for the customer organization. Workspace access is limited to authorized users and may not be shared outside the customer’s organization except through MKCS public booking or participant experiences designed for external users.
2. Service scope
MKCS provides scheduling orchestration, availability, routing, booking, connector, billing, support, audit, and related capabilities described in the product. The customer controls its services, workforce, connected calendars, booking pages, data, and business rules. Features identified as Preview, Future, Framework, or similar are not guaranteed production dependencies.
3. Accounts, connected systems and customer data
The customer is responsible for the accuracy and lawfulness of data it submits or connects to MKCS, for maintaining authorized access to Microsoft, Google, Stripe, video, and other third-party services, and for ensuring that its users have permission to connect those systems. The customer must not connect accounts, calendars, identities, or data it is not authorized to use.
4. Subscription, billing and payment
The MKCS Business plan is billed as displayed at enrollment or in an applicable written agreement. Recurring charges are processed through Stripe. Workspace activation is payment-first in Production and occurs only after MKCS receives a valid signed Stripe lifecycle event confirming the applicable subscription state. Additional licensed seats may be billed separately. Taxes, cancellation, credits, refunds, and other commercial terms are governed by the applicable checkout terms, order form, or written agreement.
5. Acceptable use
The customer and its users must comply with the MKCS Acceptable Use Policy. Prohibited conduct includes illegal or fraudulent activity, unauthorized access, attempts to cross tenant boundaries, malicious automation, malware, security-control bypass, impersonation, misuse of MKCS branding, and other activity that threatens MKCS, its customers, or third parties.
6. Security and customer responsibilities
The customer is responsible for protecting its user accounts, devices, connected-provider credentials, and administrative access. The customer must promptly notify MKCS of suspected compromise, unauthorized use, or material misuse involving its workspace.
7. Suspension and termination
MKCS may restrict, suspend, or terminate access when reasonably necessary to address nonpayment, fraud, legal violations, security threats, abuse, material breach, or risk to the platform or other customers. MKCS may preserve records reasonably necessary for security, billing, audit, dispute, or legal purposes consistent with applicable obligations.
8. Intellectual property
MKCS and its licensors retain all rights in the MKCS software, product design, documentation, interfaces, logos, product names, service marks, trade dress, and proprietary technology. Except for the limited right to use the service as authorized, no ownership rights are transferred to the customer. Unauthorized copying, resale, branding, or creation of services that falsely represent affiliation with MKCS is prohibited.
9. Third-party services
Connected providers such as Microsoft, Google, Stripe, and video or communications services operate under their own terms and availability. MKCS is not responsible for third-party outages, policy changes, account restrictions, or failures outside MKCS control, although MKCS may provide diagnostics and recovery guidance.
10. Service availability and warranties
MKCS works to provide reliable production service but does not guarantee uninterrupted or error-free operation. To the maximum extent permitted by applicable law, the service is provided subject to the warranties expressly stated in an applicable written agreement, and otherwise without additional implied warranties.
11. Limitation of liability
To the maximum extent permitted by applicable law, MKCS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data arising from use of the service, except where such limitation is prohibited by law or modified by a written agreement.
12. Customer indemnity
To the extent permitted by law, the customer is responsible for claims, losses, or costs arising from its unlawful content, unauthorized use, infringement, fraud, or material violation of these Terms or the Acceptable Use Policy, subject to any different allocation of responsibility in a written agreement.
13. Changes and notices
MKCS may update these online Terms when necessary for legal, security, operational, or commercial reasons. Material updates may require a new workspace acknowledgement. The version and acceptance timestamp are retained in the customer’s commercial audit record.
14. Contract precedence
An executed order form, master services agreement, data-processing agreement, or other written agreement signed by MarkoTek Cloud Solutions controls to the extent it expressly conflicts with these online Terms.
15. Contact
Questions about these Terms may be submitted through the authenticated MKCS Support workspace or by email to support@MarkoTekCloudSolutions.com.
